Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of AgendaCraft. By creating an account, starting a trial, purchasing a Subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Definitions

"AgendaCraft," "we," "us," and "our" mean AgendaCraft. "Service" means the AgendaCraft websites, applications, APIs, scheduling tools, calendar sync features, notifications, and related services. "You" means the person or organization using the Service. "User Content" means tasks, projects, calendar information, planning data, notes, preferences, and other content you submit, import, sync, or create in the Service. "Subscription" means a paid plan for access to the Service.

3. Eligibility and Accounts

AgendaCraft is not directed to children under 13. You may not use the Service if you are under 13. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian.

You agree to provide accurate account information, keep your credentials secure, and promptly update information that becomes inaccurate. You are responsible for activity that occurs through your account, except to the extent caused by our breach of these Terms or applicable law.

4. The Service

AgendaCraft is a planning and scheduling service that helps you organize tasks, view capacity, sync calendar context, create time blocks, receive reminders, and use automation or AI-assisted features to plan your work. Features may vary by plan, platform, integration availability, and account configuration.

5. Scheduling and AI-Assisted Features

AgendaCraft is not a substitute for your own judgment. You are responsible for reviewing tasks, schedules, deadlines, calendar events, reminders, notifications, and automated changes before relying on them.

Do not use AgendaCraft as the sole system for emergency response, medical care, legal deadlines, financial obligations, safety-critical work, or other situations where a missed task, missed notification, scheduling error, or service interruption could cause serious harm.

AI-assisted or automated scheduling output may be incomplete, delayed, inaccurate, or unsuitable for your circumstances. You remain responsible for deciding what to do, when to do it, and whether a suggested schedule fits your obligations.

6. Calendar and Third-Party Integrations

You may choose to connect third-party accounts or services, including calendar providers. If you connect a Google account or calendar, AgendaCraft will access and process calendar data only as described in our Privacy Policy and as needed to provide features you authorize, such as calendar sync, scheduling, reminders, and conflict detection.

We do not use Google Calendar data for advertising or to train generalized AI models. Third-party services are governed by their own terms and privacy policies, and integrations may stop working if permissions are revoked, providers change APIs, or the third-party service becomes unavailable.

7. Subscriptions, Trials, Billing, and Cancellation

AgendaCraft may offer a 14-day free trial. No credit card is required to start the trial. A trial does not automatically convert to a paid Subscription unless you add a payment method and choose a paid Subscription.

Paid Subscriptions may be offered monthly or annually. Monthly Subscriptions renew monthly and annual Subscriptions renew annually unless canceled before the next renewal date. Prices may not include taxes, and you are responsible for applicable taxes unless law requires otherwise.

You may cancel your Subscription through your account settings or the billing portal before your next renewal date. Cancellation stops future renewal, not charges already incurred. If you cancel, your paid access continues until the end of the then-current billing period unless otherwise required by law. Fees are generally non-refundable except where required by law.

If billing fails, we may downgrade, suspend, or terminate paid access after reasonable attempts to notify you. If we change Subscription prices, we will provide notice before the change applies. Billing may be handled by our payment processor or, where applicable, an app store or platform provider. Platform-billed Subscriptions may be subject to that platform's payment, cancellation, and refund rules.

8. Acceptable Use

You agree not to use the Service to:

• Violate laws, regulations, or the rights of others.
• Upload, sync, or share content you do not have the right to use.
• Harass, abuse, threaten, impersonate, or harm another person.
• Send spam, deceptive messages, or unauthorized communications.
• Interfere with, disrupt, overload, scan, or test the vulnerability of the Service.
• Attempt to gain unauthorized access to accounts, systems, data, or integrations.
• Reverse engineer, scrape, harvest, copy, or resell the Service except as allowed by law.
• Use the Service for unlawful, fraudulent, security-abusive, or unauthorized purposes.

9. User Content

You retain ownership of your User Content. You grant AgendaCraft a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and modify User Content only as needed to operate, secure, support, troubleshoot, and provide the Service, including calendar sync and scheduling features you enable.

You are responsible for your User Content and for ensuring that you have the rights and permissions needed to submit, import, sync, or process it through the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect information, including account, task, planning, billing, notification, analytics, and connected calendar data.

11. AgendaCraft Intellectual Property

The Service, software, interfaces, workflows, branding, website content, and other AgendaCraft materials are owned by AgendaCraft or its licensors and are protected by intellectual property and other laws. These Terms do not transfer any ownership rights in the Service to you.

12. Service Changes, Availability, and Beta Features

We may add, change, suspend, or remove features from time to time. The Service is provided on an "as is" and "as available" basis, and we do not guarantee that it will be uninterrupted, secure, timely, or error-free.

Beta, preview, experimental, or newly released features may be less reliable and may change or be discontinued without becoming generally available.

13. Suspension and Termination

You may stop using the Service or close your account at any time. We may suspend or terminate access if you violate these Terms, fail to pay amounts owed, create security or legal risk, misuse the Service, or if continued access would expose us or others to harm. Where reasonable, we will provide notice before suspension or termination.

14. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, AgendaCraft disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by law, AgendaCraft will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services.

To the maximum extent permitted by law, AgendaCraft's total liability for claims arising out of or relating to the Service or these Terms is limited to the greater of the amount you paid to AgendaCraft for the Service in the 12 months before the event giving rise to the claim or $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless AgendaCraft and its officers, directors, employees, contractors, and agents from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your misuse of the Service, your User Content, your violation of these Terms, or your violation of law or third-party rights.

16. Dispute Resolution

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-law rules. Before starting a formal proceeding, you and AgendaCraft agree to try to resolve disputes informally by contacting legal@agendacraft.ai.

Except for disputes that qualify for small claims court, disputes arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial arbitration rules. Arbitration may be conducted remotely unless the arbitrator requires an in-person hearing, in which case the hearing will take place in Maryland unless the parties agree otherwise.

You and AgendaCraft agree that disputes will be resolved only on an individual basis and not in a class, consolidated, collective, or representative action. You and AgendaCraft each waive the right to a jury trial to the maximum extent permitted by law.

Arbitration fees will be allocated under the applicable arbitration rules, subject to any fee-shifting rights available under law. If any part of this dispute-resolution section is found unenforceable, the unenforceable part will be severed to the extent permitted by law, and the remaining terms will continue to apply.

You may opt out of arbitration by emailing legal@agendacraft.ai within 30 days after you first accept these Terms. If we make a material change to this dispute-resolution section, the change will not apply retroactively to disputes that arose before the effective date of the change, and you may reject the arbitration change by emailing us within 30 days after the change notice.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide advance notice by email, in-product notice, or another reasonable method before the changes take effect. Changes will not retroactively alter dispute-resolution rights for disputes that arose before the effective date of the change. If you do not agree to updated Terms, you must stop using the Service before they take effect.
